1. Acceptance of Terms

By accessing, downloading, or using TopEdu's hybrid education ecosystem platform, including our website, mobile applications (iOS and Android), and related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," "your") and TopEdu LLC ("Company," "we," "us," "our," "TopEdu").

If you do not agree with any provision of these Terms, you may not access or use the Service. Your continued use of the Service after reviewing these Terms constitutes your acceptance and agreement to be bound by them.

TopEdu reserves the right to modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Service. Your continued use of the Service after such modifications signifies your acceptance of the updated Terms.

2. Description of Service

TopEdu is the world's first hybrid education ecosystem designed to connect tertiary students, educators, educational institutions, and brands. Our platform facilitates:

Building verified academic profiles and professional credentials
Networking and collaboration among education stakeholders
Discovery of educational opportunities, courses, and resources
Job and internship matching for career development
Research collaboration and scholarly engagement
Institutional partnerships and integration
Brand partnerships connecting students with career opportunities
Direct communication and messaging between Users

TopEdu is committed to transforming tertiary education by helping students, educators, institutions, and brands become researchers, creators of value, and connectors—not merely consumers. Our mission is to unlock human potential and connect careers with opportunities.

3. User Eligibility and Account Creation

3.1 Eligibility Requirements

To use the Service, you must:

Be at least 18 years of age or have reached the age of majority in your jurisdiction
Have the legal capacity to enter into a binding agreement
Be a tertiary education student, educator, institutional representative, brand representative, or other qualifying stakeholder
Agree to provide accurate, current, and complete information
Comply with all applicable laws and regulations in your jurisdiction

If you are under 18 or do not meet these requirements, you may not use the Service. TopEdu is not available to users who have been terminated from the Service for violating these Terms or applicable laws.

3.2 Account Registration

To create an account, you must:

Provide accurate, truthful, and current information
Keep your account information up-to-date
Create a secure password and maintain its confidentiality
Accept responsibility for all activities and communications under your account
Use only your own name and information; accounts must be registered to individuals, not organizations (unless specifically authorized)

3.3 Account Verification and Credentials

TopEdu requires verification of academic credentials for certain user types. You authorize TopEdu to verify your educational background through third-party verification services, direct institutional inquiry, or document review. You agree to provide honest, accurate information for verification purposes. Providing false credentials is a violation of these Terms and may result in account termination and legal action.

3.4 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities and communications occurring under your account, whether or not authorized by you. You agree to immediately notify TopEdu at support@topeduconnect.com of any unauthorized use of your account or any security breach. TopEdu will not be liable for any losses resulting from unauthorized use of your account if you fail to notify us of such use or if unauthorized access results from your negligence.

4. Acceptable Use Policy

4.1 Prohibited Conduct

You agree not to use the Service in any manner that:

Illegal or Harmful: Violates any applicable local, national, or international laws, regulations, or court orders; or facilitates illegal activity
Harassment or Abuse: Harasses, bullies, threatens, intimidates, or abuses other Users; engages in hate speech based on protected characteristics; or contains content promoting violence
Fraud or Deception: Misrepresents your identity, credentials, or qualifications; impersonates another person; or engages in fraudulent activity
Intellectual Property Infringement: Infringes on copyrights, trademarks, patents, or other intellectual property rights of TopEdu or third parties
Malicious Software: Introduces viruses, malware, trojans, ransomware, or other harmful code; attempts to compromise platform security; or interferes with platform functionality
Unauthorized Access: Attempts to gain unauthorized access to our systems, networks, databases, or accounts; performs security testing without permission; or engages in hacking
Data Scraping: Scrapes, crawls, or systematically downloads User information or platform content without authorization; uses bots or automated tools except as permitted by TopEdu
Commercial Misuse: Uses the Service for commercial purposes without prior written permission; resells Service access; or uses the platform to advertise, market, or solicit services not approved by TopEdu
Spam and Unsolicited Communications: Sends unsolicited commercial messages, chain letters, pyramid schemes, or spam; posts duplicate or repetitive content; or sends bulk messages to Users
Manipulation: Artificially inflates engagement metrics, uses fake accounts to increase following, or manipulates voting, ratings, or recommendation systems
Inappropriate Content: Posts sexually explicit, pornographic, or adult content; shares graphic violence; or uploads content that is obscene or offensive
Privacy Violations: Collects or shares other Users' personal information without consent; screenshots private messages for public sharing; or violates confidentiality agreements
Platform Circumvention: Attempts to bypass restrictions, filters, or safeguards; uses VPNs to mask location to evade geographic restrictions; or manipulates platform features

4.2 Content Standards

All content you post, upload, or share must be appropriate for an educational platform. Content standards require that you do not post content that is defamatory, libelous, threatening, harassing, abusive, discriminatory, or otherwise offensive. TopEdu reserves the right to remove any content that violates these standards.

4.3 Monitoring and Enforcement

TopEdu reserves the right to monitor User activity, content, and communications to enforce these Terms and ensure platform integrity. We may investigate reported violations and take appropriate action, including content removal, account suspension, or termination. We are not responsible for monitoring all User-generated content and do not warrant that the Service is free from inappropriate content.

5. User Content and Intellectual Property

5.1 User Content Ownership

You retain all ownership rights to content you create, post, upload, or share on TopEdu, including educational materials, research, projects, posts, messages, profile information, and media ("User Content"). TopEdu does not claim ownership of your User Content.

5.2 License Grant to TopEdu

By posting User Content on TopEdu, you grant TopEdu and other Users a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, and create derivative works of your User Content in connection with the Service. This license permits TopEdu to:

Display your content on the platform
Make your content searchable and discoverable by other Users
Create backups and maintain content in our systems
Share your content with other Users as part of matching, recommendations, or connections
Use aggregated or anonymized versions of your content for analytics and improvement

This license terminates upon deletion of your account or removal of content, except for content that has already been shared or published, which may remain visible to other Users.

5.3 TopEdu's Intellectual Property

All content, features, and functionality of the TopEdu platform, including but not limited to:

Design, layout, and user interface
Software code and algorithms
Trademarks, logos, and branding
Documentation and educational materials created by TopEdu
Matching algorithms and AI features
Database compilations and aggregated data

...are owned by TopEdu or licensed to TopEdu by third parties. These materials are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without TopEdu's express written permission.

5.4 Limited License to Use Service

Subject to these Terms, TopEdu grants you a limited, non-exclusive, non-transferable license to access and use the Service for personal educational and career development purposes. This license is revocable at any time for violation of these Terms.

6. Communication and Messaging

6.1 Direct Communication

TopEdu provides messaging functionality to facilitate communication between Users. You agree that TopEdu is not responsible for the content of User-to-User communications and does not pre-screen private messages. You are solely responsible for any communications you send and for respecting other Users' privacy and safety.

6.2 Confidentiality

Your private messages are intended to be confidential communications between you and other Users. You agree not to screenshot, record, or publicly share private messages without the sender's consent. Such actions may violate privacy laws and these Terms.

6.3 Service Communications

TopEdu may send you transactional communications (account confirmations, password resets, security alerts), service updates, feature announcements, and educational content. You may manage your communication preferences in your account settings but cannot opt out of essential transactional communications.

7. Educational Institutions and Partnerships

7.1 Institutional Data

If you are affiliated with an educational institution that has partnered with TopEdu, your institution may have access to limited data about your engagement with the platform. This data is used to enhance institutional offerings and facilitate institutional connections. Such access is subject to additional agreements between TopEdu and the institution.

7.2 Institutional Terms

Institutions that use TopEdu may be subject to additional terms and conditions. If there is a conflict between these Terms and institutional-specific terms, institutional terms will prevail to the extent permitted by law.

8. Opportunities, Matching, and Recommendations

8.1 Matching and Connections

TopEdu uses algorithms, artificial intelligence, and machine learning to match Users with opportunities, connections, and content based on profile information, interests, and behavior. While we strive for accuracy, we do not guarantee that all recommendations or matches are suitable, relevant, or accurate. You are responsible for evaluating opportunities and connections independently.

8.2 Third-Party Opportunities

Opportunities, jobs, internships, and brands shared through TopEdu may be from third-party organizations. TopEdu does not endorse, verify, or guarantee the legitimacy of third-party opportunities. You are responsible for independently verifying third-party opportunities and conducting appropriate due diligence before applying for or engaging with them.

8.3 No Obligation to Participate

You are under no obligation to accept any matches or opportunities presented through TopEdu. All participation in opportunities is voluntary.

9. Verification and Accuracy

You represent and warrant that all information you provide to TopEdu is accurate, truthful, and current. You agree to maintain accuracy of your profile and update information that becomes outdated. Providing false or misleading information, falsifying credentials, or attempting to impersonate another person is a material breach of these Terms that may result in account termination and legal action.

TopEdu uses third-party verification services to verify academic credentials. You authorize these verification services to confirm your educational information with institutions. You are responsible for ensuring that institutions have accurate information about you to facilitate verification.

10. Payment and Billing (If Applicable)

10.1 Payment Terms

If TopEdu offers paid features or services, you agree to pay all fees in accordance with TopEdu's pricing. All fees exclude applicable taxes unless otherwise stated. You are responsible for paying any applicable sales tax, VAT, or other taxes.

10.2 Payment Processing

Payments are processed through secure third-party payment processors. By providing payment information, you authorize TopEdu and our payment processors to collect and process your payment. TopEdu does not directly store full credit card information.

10.3 Billing Disputes

If you dispute a charge, you must notify TopEdu within 30 days of the charge. We will investigate the dispute and work with you and our payment processor to resolve it. Failure to report disputes in a timely manner may limit your ability to contest charges.

11. Disclaimers and Limitations of Liability

11.1 "As Is" Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TOPEDU MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

11.2 No Guarantee of Service Availability

TopEdu does not guarantee uninterrupted, error-free, or secure access to the Service. We do not warrant that the Service will operate without interruptions, delays, or errors. Maintenance, updates, or technical issues may cause temporary unavailability.

11.3 No Liability for User Content

TopEdu is not responsible for User-generated content posted on the platform, including accuracy, reliability, or legality of such content. We do not pre-screen all content and are not liable for offensive, harmful, or inappropriate User Content.

11.4 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOPEDU SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Lost profits, loss of data, or loss of business opportunity
Damages arising from unauthorized use of your account
Damages from third-party services or opportunities
Damages from reliance on recommendations or matches

This limitation applies even if TopEdu has been advised of the possibility of such damages.

11.5 Assumption of Risk

Your use of TopEdu is at your own risk. You are responsible for independently verifying opportunities, evaluating third-party organizations, and protecting your account security. TopEdu is not responsible for third-party conduct, scams, or misrepresentations by other Users or organizations.

12. Indemnification

You agree to indemnify, defend, and hold harmless TopEdu and its officers, directors, employees, agents, and licensees from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or in connection with:

Your use of the Service
Your violation of these Terms
Your User Content or communications
Your violation of applicable laws or third-party rights
Your conduct on the platform

13. Account Termination and Suspension

13.1 Termination by TopEdu

TopEdu may terminate or suspend your account and access to the Service at our sole discretion, with or without prior notice, for:

Violation of these Terms of Use
Violation of applicable laws or regulations
Providing false, misleading, or fraudulent information
Unauthorized access or security violations
Abusive or threatening behavior toward other Users
Intellectual property infringement
Spam or unsolicited communications
Concerns about your account activity or safety

13.2 Effect of Termination

Upon termination or suspension:

Your access to the Service is immediately revoked
Your account and all associated data may be permanently deleted
You remain liable for any obligations incurred before termination
TopEdu retains data as required by law or for legitimate business purposes

13.3 Termination by User

You may terminate your account at any time by contacting support@topeduconnect.com or through your account settings. Upon termination, your account will be deactivated, though TopEdu may retain anonymized or aggregated data in accordance with our Privacy Policy.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms of Use are governed by and construed in accordance with the laws of Nigeria, without regard to conflict of law principles. TopEdu's operations are based in Nigeria.

14.2 Dispute Resolution

If you have a dispute with TopEdu, we encourage you to first attempt to resolve it by contacting us at legal@topeduconnect.com with a detailed description of the dispute. We will attempt to resolve disputes in good faith.

14.3 Jurisdiction and Venue

Any legal action or proceeding arising from these Terms or your use of the Service shall be brought exclusively in the courts of Nigeria. You consent to the jurisdiction and venue of such courts and waive any objections to jurisdiction.

15. Modifications to Service and Terms

TopEdu reserves the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

TopEdu reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform. Your continued use of the Service after modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and TopEdu regarding your use of the Service. These Terms supersede all prior agreements, understandings, and communications regarding the subject matter.
